GTFC AGM - Statement from GTST

By: GTST Board
Date: 21/12/2005

As the majority of supporters will be aware, the 114th Annual General Meeting of Grimsby Town Football Club is to be held on 29th Dec 2005, 10am at Blundell Park.

As a 3% shareholder in GTFC, members of the Grimsby Town Supporters Trust board will be attending the AGM, and voting on behalf of our membership base. Following discussion at a recent board meeting, GTST have decided to back Mr Fenty's proposal. We believe that in the absence of any other obvious immediate source of funds, it is the only viable option to relieve the club of some of their current financial burden.

Proxy Voting

GTST are once again able to act as a proxy for any GTFC shareholder who is unable to attend the AGM, in order that voting rights attached to any shares held are exercised.

From the GTFC Annual Report for Year End 31st May 2005:

"A Shareholder is entitled to appoint a proxy to attend and vote on their behalf. A proxy need not be a Shareholder of the Company [GTFC]. A proxy cannot ask questions and cannot vote on a show of hands but can vote of a poll".

To nominate a proxy, GTFC must be notified of the Shareholders intention to do this at least 48 hours before the AGM. A proxy form as provided by the club can be downloaded here. The form should be marked for the attention of Ian Fleming and can either be handed into the club or emailed to ian@gtfc.co.uk.

If you choose to nominate the Supporters Trust as your proxy, please let us know, preferably by e-mail to enquiries@gtst.net, that you have done this. GTST will then have a clear idea of the exact number of shares that it is representing.
